Godmorgen. ang. opkøb skal man huske på at bestyrelsen får økonomisk bonus ved overtagelse. Alle aktie optioner bliver udløst. her fra børsen artikel: "Får vi brug for det, har vi forskellige scenarier forberedt, så vi kan handle hurtigt," Jan van de Winkel

Børsens overskrift er ikke helt til at genfinde i artiklen. Men hvis Winkel har sagt at han er åben for forhandlinger er det nyt. Men hvis det er bemærkningen om, at han ikke vil binde aktionærerne på hænder og fødder den er baseret på, er det en lidt løs udlægning.

Her er hvad der står i Corporate governance 2015.: "Genmab retains the right in certain circumstances to reject takeover bids without consulting the shareholders. Genmab believes this provides the Board with the needed flexibility to best respond to takeover bids and to negotiate with bidders. Actions will be determined on a case-by-case basis with due consideration to the interests of the shareholders and other stakeholders."

Og her er det som Jan hentyder til i hans kommentar: "Genmab’s Nominating and Corporate Governance Committee has drawn up a takeover memorandum and guidelines, including contingency procedures, which are reviewed annually by the Board of Directors."
